Participant Release

1. Project and grant of rights

For good and valuable consideration, the receipt and sufficiency of which Participant acknowledges, Participant irrevocably authorizes Producer and its parents, affiliates, successors, assigns, licensees, distributors, exhibitors, advertising partners and authorized designees (collectively, “Authorized Parties”) to photograph, film, videotape, audio-record and otherwise capture Participant’s appearance, interview, statements, voice, name, professional or biographical identification, likeness and performance in connection with the documentary presently entitled GIVE HIM BACK (formerly SAVING BABY CYRUS), including any versions, edits, translations, excerpts, trailers, related publicity and ancillary materials (the “Project”). This Agreement applies to all interviews, appearances, performances, statements, photographs, audio recordings, video recordings, and other contributions made by Participant in connection with the Project, whether recorded or provided before, on, or after the date this Agreement is executed, including recordings made on multiple occasions and at different locations.

2. Media, territory and term

The rights granted are worldwide, perpetual, transferable and sublicensable, in all languages and all media and formats now known or later developed, including theatrical and non-theatrical exhibition; broadcast, cable, satellite and FAST channels; subscription, advertising-supported and transactional streaming; video-on-demand, rental, purchase and pay-per-view; physical and digital home video; festivals, educational, institutional, archival, airline and other exhibition; and advertising, publicity, promotion and distribution of the Project.

3. Editing and editorial control

Producer has sole creative and editorial discretion to record, select, edit, excerpt, combine, sequence, caption, subtitle, translate, dub, adapt and otherwise use the recorded material in connection with the Project and its promotion, subject to applicable law. Participant has no right to inspect or approve the Project, final edit, marketing, or uses authorized by this Agreement. Producer is not required to use Participant’s material or to release the Project.

4. Name, likeness and publicity

Participant authorizes use of Participant’s name, likeness, voice, biographical information supplied by Participant, still images and excerpts from recorded material to identify, advertise, publicize, market and exploit the Project, including press materials, social media, websites, trailers, key art and distributor listings. This authorization does not permit a separate endorsement of an unrelated product or political candidate without additional consent.

5. Ownership and materials

As between Participant and Producer, SPOTLIGHT DOCUMENTARY LLC exclusively owns the Project and the audiovisual and sound recordings created by or for Producer, including recorded interviews, performances, footage, edits, versions, and production elements, subject to third-party rights and rights that cannot lawfully be assigned. To the extent Participant holds assignable rights in Participant’s recorded contribution, Participant assigns those rights to Producer; to the extent assignment is ineffective, Participant grants Producer an irrevocable, perpetual, worldwide, transferable, sublicensable, royalty-free license to exploit the contribution in connection with the Project and its advertising and promotion. This provision does not purport to transfer ownership of Participant’s preexisting materials or independent underlying works except as expressly authorized.

6. Compensation and credit

Participant confirms that no compensation was paid or promised in exchange for Participant’s interview, opinions, statements, testimony, appearance, or performance. Participant is not entitled to any further compensation, royalties, residuals, reuse fees, licensing fees, revenue participation, approval fees, or other payment arising from the Project or its exploitation, unless expressly provided in a separate written agreement signed by SPOTLIGHT DOCUMENTARY LLC. No screen credit is promised. Nothing in this Agreement waives wages, statutory entitlements, or union or guild obligations that cannot lawfully be waived. Incidental hospitality, if any, does not constitute payment for opinions or testimony.

Discretionary future arrangements. As of the date of this Agreement, no future compensation or financial assistance is planned, promised, or owed to Participant. SPOTLIGHT DOCUMENTARY LLC may, but is under no obligation to, elect at its sole discretion to initiate or authorize an offer of future compensation, revenue participation, contributions toward legal expenses, or other financial assistance. Any such arrangement shall be effective only if separately agreed in writing and signed by SPOTLIGHT DOCUMENTARY LLC and the applicable recipient or party. Nothing in this Agreement obligates SPOTLIGHT DOCUMENTARY LLC to initiate, negotiate, or enter into any such arrangement. Any future payment shall not retroactively constitute payment for opinions or testimony; the actual nature and circumstances of any arrangement shall govern.

7. Participant assurances

Participant represents that Participant is at least 18 years old and has authority to sign, or that the minor consent addendum is completed by a legally authorized parent or guardian. Participant agrees not to knowingly provide materials Participant lacks authority to authorize. Participant understands that Producer may independently investigate, verify, challenge or contextualize statements, and that this release does not require Producer to adopt Participant’s account as fact.

8. Release of certain claims

To the fullest extent permitted by applicable law, Participant releases the Authorized Parties from claims arising solely from the authorized recording, editing, exhibition, distribution, promotion and other use of Participant’s appearance, voice, name, likeness, statements or performance, including claims based on rights of publicity, privacy, or approval, provided such use is within the scope of this Agreement. This release does not waive claims for fraud, willful misconduct, knowing falsification, unlawful conduct, or rights that cannot legally be waived.

9. No confidentiality or guaranteed portrayal

Participant understands that recorded statements may become public, may be included alongside statements by others, and may be used in a journalistic or documentary context. Producer makes no promise of confidentiality, anonymity, favorable portrayal, specific context, release date or distribution platform unless separately agreed in writing.

10. Electronic signing; entire agreement

Participant consents to signing this Agreement electronically and to the retention of an electronic record of this Agreement. An electronic signature shall have the same legal force and effect as a handwritten signature, to the fullest extent permitted by applicable law. This Agreement constitutes the entire agreement between the parties concerning its subject matter, except for any separate written engagement or compensation agreement signed by both parties. Any modifications to this Agreement must be made in writing and signed by both parties. If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict-of-law principles.

11. Acknowledgment

Participant confirms that Participant has read and understands this Agreement, has had the opportunity to ask questions and seek independent legal advice, and signs voluntarily.
